Terms of Service

Effective Date: January 16, 2026

These Terms of Service ("Terms") govern your access to and use of ShareTrack's cap table and certificate management platform, including all features, integrations, and related services (collectively, the "Service"). By accessing or using ShareTrack, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using ShareTrack, you confirm that you:

  • Are at least 18 years of age
  • Have the legal authority to bind yourself or your organization to these Terms
  • Accept these Terms, our Privacy Policy, and our End User License Agreement
  • Will comply with all applicable laws and regulations

If you are using ShareTrack on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ShareTrack provides a cloud-based platform for:

  • Managing stock certificates, cap tables, and ownership records
  • Tracking certificate genealogy, transfers, and splits
  • Generating and managing shareholder invoices and assessments
  • Recording, transcribing, and generating AI-powered board meeting minutes
  • Integrating with third-party services such as QuickBooks Online
  • Providing shareholder self-service portals

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

To use ShareTrack, you must:

  • Provide accurate, complete, and current registration information
  • Maintain and promptly update your account information
  • Create a strong password meeting our security requirements
  • Keep your login credentials confidential and secure

3.2 Account Security

  • You are responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized access or security breach
  • We may require multi-factor authentication for enhanced security
  • We reserve the right to suspend accounts with suspected security issues

3.3 User Management

Account administrators are responsible for:

  • Managing user access and permissions within their organization
  • Ensuring users comply with these Terms
  • Promptly removing access for departed employees or unauthorized users

4. Third-Party Integrations

4.1 QuickBooks Online Integration

When you authorize the QuickBooks Online integration:

  • You grant ShareTrack permission to access your QuickBooks data as described in our Privacy Policy
  • We will access only the data necessary to provide the integration functionality
  • We will not share your QuickBooks data with third parties except as necessary to provide the Service
  • We will not use QuickBooks data for any purpose other than providing the integration features
  • You may disconnect the integration at any time through your account settings

Your use of QuickBooks Online is also subject to Intuit's Terms of Service and Privacy Policy.

4.2 Deepgram Integration (Audio Transcription)

ShareTrack uses Deepgram for audio transcription of board meeting recordings:

  • You grant ShareTrack permission to send your audio recordings to Deepgram for transcription
  • Audio is processed in real-time and not stored by Deepgram
  • Your audio is not used to train AI models
  • Transcripts are returned to ShareTrack and stored in your account
  • Audio transcription is optional—you may enter minutes manually

Your use of Deepgram through ShareTrack is subject to Deepgram's Terms of Service and Privacy Policy.

4.3 OpenAI Integration (AI Minutes Generation)

ShareTrack uses OpenAI to generate meeting minutes from transcripts:

  • You grant ShareTrack permission to send meeting transcripts to OpenAI for processing
  • OpenAI does not use API data to train their models
  • OpenAI may retain data for up to 30 days for abuse monitoring
  • Generated content is returned to ShareTrack and stored in your account
  • AI minutes generation is optional—you may write minutes manually
  • You are responsible for reviewing and editing AI-generated content before use

Your use of OpenAI through ShareTrack is subject to OpenAI's Terms of Service and Usage Policies.

4.4 Other Third-Party Services

ShareTrack may integrate with additional third-party services. Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party service availability, functionality, or data handling practices.

4.5 OAuth and API Access

  • We securely store OAuth tokens required for integrations using industry-standard encryption
  • Tokens are never exposed in URLs, logs, or client-side code
  • We do not provide API access to your third-party integration data to any external parties
  • You may revoke integration access at any time, which will delete stored tokens

5. Subscription and Payment

5.1 Subscription Plans

ShareTrack offers tiered subscription plans with varying features and limits. Current pricing and features are available at sharetrack.org/pricing.

5.2 Fees and Billing

  • You agree to pay all fees associated with your selected subscription plan
  • Fees are billed in advance on a monthly or annual basis
  • All fees are exclusive of applicable taxes, which you are responsible for paying
  • We may change pricing with 30 days advance notice; changes apply at your next renewal

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

5.4 Refunds

Fees are non-refundable except as required by law or at our sole discretion. We may provide pro-rated refunds for annual subscriptions cancelled within 30 days of purchase.

6. User Responsibilities and Acceptable Use

6.1 You Agree To:

  • Use ShareTrack only for lawful purposes and in accordance with these Terms
  • Maintain accurate, complete, and up-to-date shareholder and certificate records
  • Keep your account credentials confidential and not share them with unauthorized users
  • Comply with all applicable laws, regulations, and industry standards
  • Respect the intellectual property rights of ShareTrack and third parties
  • Promptly report any bugs, vulnerabilities, or security issues to our support team

6.2 You Agree NOT To:

  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Access the Service through automated means (bots, scrapers, etc.) without authorization
  • Circumvent any security measures or access controls
  • Use the Service to transmit malware, viruses, or malicious code
  • Interfere with or disrupt the Service or servers
  • Use the Service to develop a competing product
  • Sublicense, resell, or redistribute the Service
  • Upload content that is illegal, harmful, or infringes on third-party rights

7. Data Ownership and Licenses

7.1 Your Data

You retain all ownership rights to data you input into ShareTrack ("Your Data"), including shareholder records, certificate information, meeting content, and business data.

7.2 License to ShareTrack

By using the Service, you grant ShareTrack a limited, non-exclusive, worldwide license to:

  • Store, process, and transmit Your Data solely to provide the Service
  • Create backups and redundant copies for reliability and disaster recovery
  • Use anonymized, aggregated data for analytics and service improvement

This license terminates when you delete Your Data or close your account.

7.3 Data Export

You may export Your Data at any time through the Service's export features. Upon account termination, you will have 30 days to export Your Data before deletion.

8. Service Availability and Support

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for service interruptions beyond our reasonable control.

8.2 Support

Support is provided according to your subscription plan. Response times and support channels vary by plan level. Our support team may access your account data solely to assist with support requests you initiate.

9. Intellectual Property

9.1 ShareTrack IP

ShareTrack and its original content, features, functionality, software, and branding are owned by ShareTrack, Inc. and protected by copyright, trademark, patent, and other intellectual property laws.

9.2 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our written permission. You may not use our trademarks or branding without authorization.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WE ARE NOT RESPONSIBLE FOR THE ACCURACY OF DATA YOU INPUT OR DECISIONS YOU MAKE BASED ON THAT DATA

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SHARETRACK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • SHARETRACK SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

10.3 Third-Party Services

We are not liable for any issues, losses, or damages arising from your use of third-party integrations, including QuickBooks Online. Your use of such services is at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShareTrack, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your Data or content you upload to the Service
  • Your use of third-party integrations

12. Termination

12.1 Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting support.

12.2 Termination by ShareTrack

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our other policies
  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay fees when due
  • Pose a security risk to the Service or other users

12.3 Effect of Termination

  • Your right to use the Service ceases immediately upon termination
  • You may export Your Data within 30 days of termination
  • We will delete Your Data within 90 days after termination, except as required by law
  • Sections 7, 9, 10, 11, and 14 survive termination

13. Privacy

Your privacy is important to us. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising under these Terms shall first be subject to informal negotiation for 30 days. If unresolved, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Salt Lake City, Utah.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or security breaches.

15. General Provisions

15.1 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and ShareTrack.

15.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

15.4 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

15.5 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.
